Biography

Seth Moen specializes in mergers and acquisitions, securities/capital markets, and tax within his legal practice. He advocates for the firm’s clients, offering guidance on various business opportunities such as business entity formation, corporate governance, supply chain management, loan transactions, real estate affairs, intellectual property commercialization, and drafting business contracts. With vast experience spanning industries like telecommunications, transportation, manufacturing, healthcare, and consumer products, Seth represents buyers and sellers in M&A transactions. He advises on structuring, negotiating, and closing deals, including mergers, stock acquisitions, divestitures, and reorganizations. Seth also assists clients in debt and equity offerings, private placements, and complex tax matters. A member of the firm’s Executive Committee, Seth contributes to the Marketing/Communications and Technology Committees as well.

• Multiple acquisitions of oil and gas transportation companies by large national transportation company

• Multiple sales, acquisitions and restructurings of healthcare staffing companies, including minority interest acquisitions and debt restructuring transactions

• Sale of a roofing company to a private equity firm in a transaction that valued the roofing company in excess of $120 million

• Sale of a majority interest in a consumer products company to a large private equity firm in a transaction that valued the consumer products company in excess of $400 million
• Multiple bolt-on acquisitions of portfolio investments for a United Kingdom based private equity firm
• Formation and securities matters for a private equity firm focused on the real estate and agricultural industry
