Biography

Patrick Tefft is primarily involved in the construction industry, representing clients, including contractors, subcontractors, adjusters, and business owners across multiple subsets of the industry, including vertical construction, roofing and restoration, heavy highway, remodeling, among others. His practice includes matters involving regulatory compliance, drafting and negotiating of contracts, business structuring, employment issues, strategic growth, and dispute resolution.  In his corporate practice, Pat assists clients with business entity formation and structuring, corporate governance, business succession planning, supply chain management, and the review, drafting, and negotiation of all forms of business contracts. He also advises clients in structuring, negotiating, documenting, and closing the purchase and sale of closely-held businesses. 

Representative Experience

• Drafted and negotiated contracts, including prime contracts, subcontracts, employment agreements, and other various business agreements for national and local construction clients
• Advised clients across multiple industries on compliance with state licensing laws and implemented programs for ongoing regulatory maintenance
• Represented numerous clients in corporate restructurings and the purchase and sale of closely-held businesses

Strategic Transactions

• Sales of roofing companies to private equity firms and strategic acquirers, including a transaction that valued a roofing company in excess of $120 million
• Acquisitions and sales of multiple regional and local automotive dealerships
• Multiple sale transactions involving insurance companies to a large strategic acquirer
