Biography

Marshall Dean is a member of the firm’s business and corporate practice group and primarily focusses his practice in the areas of mergers and acquisitions and securities/capital markets. Marshall enjoys working closely with clients and the other members of the Dvorak Law Group team with respect to structuring, implementing, and closing various types of business transactions. Additionally, he advises clients on matters related to securities offerings, compliance, and federal and state reporting, as well as on business succession planning, corporate structuring and restructurings, and various types of business contracts.

Marshall is also a member of the firm’s labor and employment practice group, and has experience with analyzing and drafting various types of key employee incentive plans, including stock option, phantom stock, and stock appreciation rights plans. He has also been a speaker at multiple seminars presented by the firm’s labor and employment practice group.

• Multiple acquisitions of physical therapy businesses, both within and outside of Nebraska.
• Sale of a local home health care business.
• Sale of a national medical research company requiring complex pre-closing restructuring.
• Sale of a national healthcare staffing company requiring complex structuring and filing pursuant to the HSR Act.
• Sale of a restaurant business with several area locations to its national franchisor.
• Acquisition of an investment advisory services business.
• Sale of a New York-based services company to an ESOP.
• Various matters in connection with assisting a web technologies company obtain complex debt financing that included various post-closing covenants including a tax-efficient holding company restructuring and the issuance of stock warrants.
• Formation, structuring, and securities matters for multiple funds of a private equity firm focused on the commercial and agricultural real estate industries.
